These Terms and Conditions ("Terms") govern your membership of and access to The Private Market Club ("the Club"), operated by Lewis Steadman ("the Host"), trading as The Private Market Club, and accessible at privatemarketclub.com. By applying for membership, completing payment, or accessing the members' area, you agree to be bound by these Terms.
Please read these Terms carefully. If you do not agree with any part of them, you should not apply for or accept membership.
1. Nature of the Club
The Private Market Club is a private members club that facilitates introductions between verified buyers and agents holding off-market residential property instructions in the United Kingdom. The Club does not act as an estate agent, property finder, or financial adviser, and does not hold any property on its own behalf.
Membership of the Club does not guarantee access to any specific property, introduction, or transaction. The Club curates and introduces properties at its absolute discretion.
The Club is not regulated by the Financial Conduct Authority (FCA) or the National Association of Estate Agents (NAEA). No financial or investment advice is given or implied by the Club's communications.
2. Membership eligibility
Membership is open to individuals who meet the Club's criteria, as assessed personally by the Host. The Club reserves the right to decline any application without giving reasons. Membership is non-transferable and personal to the named member.
By applying, you confirm that:
- You are 18 years of age or older
- You have the financial position, funding, or authority to proceed with a residential property acquisition at the value stated in your application
- The information provided in your application is accurate and complete
- You are not applying on behalf of another party without their knowledge
3. Membership tiers and fees
Membership is available at three tiers: Standard (£395 per year), Premier (£650 per year), and White Glove (£1,800 per year). Fees are payable annually in advance and are non-refundable except where required by law.
Founding members accepted during the initial cohort period have their membership rate fixed for the life of their membership, provided that membership remains continuous and in good standing. This founding rate guarantee is personal to the member and does not transfer.
The Club reserves the right to change membership fees for new or renewing members on reasonable notice. Existing founding members will not be affected by such changes.
4. Member obligations
As a member, you agree to:
- Maintain the confidentiality of all property details, vendor information, and member communications received through the Club, as set out in the Non-Disclosure Agreement signed on admission
- Not forward, share, or reproduce any weekly drop, property detail, or member communication to any person who is not a verified member of the Club
- Not approach any vendor, agent, or property introduced through the Club other than through a formal introduction arranged by the Club
- Upload and maintain current proof of funds, AIP, or equivalent verification in your document vault
- Notify the Club promptly of any material change in your financial position or ability to proceed with an acquisition
- Treat all agents, vendors, and Club staff with respect and professionalism
5. Property introductions
The Club makes no representation as to the accuracy or completeness of property details provided by agents. All information is provided in good faith and should be independently verified by the member and their professional advisers before any offer is made.
The Club does not act as a party to any property transaction and accepts no liability for any loss arising from a transaction introduced through the Club. Members are responsible for their own due diligence, legal advice, and survey arrangements.
All enquiries and offers must be directed through the Club unless otherwise agreed in writing by the Host. Direct approaches to agents or vendors, circumventing the Club, may result in termination of membership.
6. Termination of membership
The Club may terminate membership immediately and without refund if a member:
- Breaches any term of these Terms or the Non-Disclosure Agreement
- Provides false or misleading information in their application
- Behaves in a manner that is disrespectful, dishonest, or damaging to the Club's reputation
- Attempts to circumvent the Club's introduction process
- Fails to maintain current verification documents in their vault
Members may cancel their membership at any time by writing to enquiries@privatemarketclub.com. Cancellation will take effect at the end of the current membership year. No partial refunds are given.
7. Liability limitations
The Club's total liability to any member for any claim arising out of or in connection with their membership shall not exceed the annual membership fee paid by that member in the year in which the claim arose.
The Club is not liable for any indirect, consequential, or economic loss, including loss of profit, loss of opportunity, or loss arising from a failed or incomplete property transaction.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
8. Intellectual property
All content on the Club's website and in member communications, including text, design, structure, and branding, is the property of The Private Market Club and may not be reproduced without written permission.
9. Changes to these Terms
The Club may update these Terms from time to time. Members will be notified of material changes by email. Continued membership following notice of changes constitutes acceptance of the revised Terms.
10. Governing law
These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
